Mitra CRM Terms of Service

Version 1.0.0

These Terms apply to your use of Mitra CRM. Please read them — by creating a workspace you agree to them on behalf of your business.

1. This agreement

These Terms of Service (the "Terms") are an agreement between Automaid ("Automaid", "we", "us") — the provider of Mitra CRM — and the business that creates a Mitra CRM workspace (the "Customer", "you"). Automaid is the brand under which Mitra CRM is offered.

The person who accepts these Terms confirms they are authorized to enter into this agreement on the Customer's behalf.

2. The service

Mitra CRM is a customer-relationship platform for residential cleaning businesses. We may add, change or remove features over time. If we make a change that materially reduces the service, you may cancel under section 7.

3. Your account and your users

You may invite people to your workspace. You are responsible for what your users do in the service and for keeping login credentials secure. Your users act under this agreement — they do not sign a separate contract with us.

Tell us promptly if you believe an account has been compromised.

4. Fees

Fees are those for the plan you select. Unless stated otherwise: fees are billed in advance, are exclusive of applicable taxes, and are non-refundable except where required by law.

We may change pricing on 30 days' notice. A price change takes effect at your next billing period, and you may cancel before it applies.

If an invoice is unpaid we may suspend the workspace after giving you reasonable notice and a chance to fix it.

5. Your data

5.1 You own your data. You keep all rights in the data you and your users put into Automaid ("Customer Data"). You grant us the licence we need to host, process, transmit and display Customer Data in order to run the service for you.

5.2 We keep it confidential. We do not sell Customer Data, and we do not share it with anyone except the service providers that help us operate Automaid, or where the law requires it.

5.3 Aggregated data. We may produce aggregated, anonymized statistics from data in the service — for example typical pricing, job duration and property characteristics by region — and we may publish or license those statistics, including as market reports.

Aggregated statistics are produced so that they do not identify you, your business, your users, or any individual household or property. Before use we remove identifying fields and group location and property data so that no single record can be picked out.

5.4 Our commitments. For aggregated statistics we will: (a) keep them in anonymized form; (b) not attempt to re-identify anyone from them; (c) require anyone we share or license them to do the same; and (d) never name you or your business in a published report without your written permission.

5.5 Your customers' information. Some Customer Data describes your own customers. You are responsible for having told them how their information is used and for having the rights you need to put it into Automaid, consistent with your own privacy commitments to them.

5.6 Opting out. You can tell us in writing to leave your Customer Data out of aggregated statistics from that point forward. We cannot recall statistics or reports already produced.

5.7 Getting your data back. While your workspace is active you can export individual customer records from the application, and you can ask us for a copy of your workspace data. After termination we keep it for 30 days so you can retrieve it, then delete it.

6. Acceptable use

Do not use Automaid to break the law, to send unlawful or unsolicited messages, to upload malicious code, to infringe someone's rights, or to attempt to gain unauthorized access to the service or another customer's data. We may suspend a workspace that is causing harm, and will tell you why.

7. Term and termination

This agreement runs until it is terminated. You may cancel at any time, effective at the end of your current billing period. Either of us may terminate if the other materially breaches these Terms and does not fix it within 30 days of written notice. We may terminate immediately for non-payment after the notice in section 4, or for a serious breach of section 6.

Sections 5.3, 5.4, 8, 9 and 10 survive termination.

8. Warranties

We provide Automaid with reasonable skill and care. Beyond that, the service is provided "as is": we do not warrant that it will be uninterrupted or error-free, and to the extent permitted by law we exclude all other warranties, whether express or implied.

9. Limitation of liability

Neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, even if advised such damages were possible.

Each party's total liability arising out of this agreement is limited to the fees you paid in the 12 months before the event giving rise to the claim.

Nothing here limits liability that cannot be limited by law.

10. Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there. The courts of Alberta have exclusive jurisdiction, and both parties attorn to those courts.

If you are outside Canada, this choice of law does not remove any protection given to you by the mandatory law of the place where you are established.

11. Changes to these Terms

We may publish a new version of these Terms. If a change is material we will ask you to accept the new version before it applies to you. Other changes take effect when published.

12. Privacy

How we handle personal information is described in the Automaid Privacy Policy. That policy is provided for your information — you acknowledge it rather than agree to it, and it is not a contractual commitment under these Terms.

13. General

These Terms are the entire agreement between us about the service. If any part is unenforceable the rest stays in effect. Neither party may assign this agreement without the other's consent, except to a successor of its business. Our failure to enforce a provision is not a waiver of it.
